By accessing or using PingRival ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

2. Description of Service

PingRival provides website monitoring and uptime tracking services. Our Service monitors websites and web applications, sending alerts when issues are detected.

3. Account Registration

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the security of your account credentials
  • You must notify us immediately of any unauthorized access to your account
  • One person or entity may not maintain more than one free account

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Monitor websites you do not own or have permission to monitor
  • Attempt to interfere with or disrupt the Service
  • Use the Service to conduct denial-of-service attacks or similar activities
  • Share your account credentials with others
  • Resell or redistribute the Service without authorization
  • Use automated means to create accounts or abuse the Service

5. Subscription Plans and Billing

Free Plan

The free plan is subject to limitations and may be modified or discontinued at any time.

Paid Plans

  • Paid subscriptions are billed in advance on a monthly or annual basis
  • Prices are subject to change with 30 days notice
  • All fees are non-refundable except as required by law
  • You may cancel your subscription at any time; access continues until the end of the billing period

Payment Processing

Payments are processed securely by Stripe. By providing payment information, you authorize us to charge your payment method for all fees incurred.

6. Service Availability

  • We strive to maintain high availability but do not guarantee 100% uptime
  • We may perform scheduled maintenance with advance notice when possible
  • We reserve the right to modify, suspend, or discontinue the Service at any time

7. Data and Content

  • You retain ownership of any data you submit to the Service
  • You grant us a license to use your data to provide and improve the Service
  • We may delete data from inactive accounts after 12 months of inactivity
  • You are responsible for maintaining backups of your important data

8. Intellectual Property

The Service, including its design, features, and content, is owned by PingRival and protected by intellectual property laws. You may not copy, modify, or distribute our proprietary materials without permission.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • The Service is provided "as is" without warranties of any kind
  • We are not liable for any indirect, incidental, or consequential damages
  • Our total liability is limited to the amount you paid us in the past 12 months
  • We are not responsible for damages caused by website downtime we failed to detect

10. Indemnification

You agree to indemnify and hold harmless PingRival and its affiliates from any claims, damages, or expenses arising from your use of the Service or violation of these terms.

11. Termination

  • We may suspend or terminate your account for violation of these terms
  • You may terminate your account at any time through your account settings
  • Upon termination, your right to use the Service ceases immediately
  • Provisions that should survive termination will remain in effect

12. Changes to Terms

We may update these terms from time to time. We will notify you of material changes by email or through the Service. Continued use after changes constitutes acceptance of the new terms.

13. Governing Law

These terms are governed by the laws of the United States. Any disputes will be resolved in the courts of competent jurisdiction.
